Terms of Service

These Terms of Service (“Terms”) govern access to and use of the eSourcing Data procurement platform (the “Platform”) provided by eSourcing Data Ltd (“eSourcing Data”, “we”, “us”). By creating an account or using the Platform you agree to these Terms.

1. Accounts

Accounts are provided to named individuals on behalf of a subscribing organisation. You are responsible for keeping your credentials secure, for all activity under your account, and for ensuring the information you provide is accurate. You must not share your login or let others use your account.

2. Acceptable use

You agree to use the Platform only for lawful procurement activities and in accordance with your organisation’s authorisation. You must not attempt to access data belonging to other organisations, disrupt the service, or circumvent access controls.

3. Data protection

eSourcing Data processes personal data as a processor on behalf of the subscribing organisation (the controller), in accordance with the UK GDPR and the Data Protection Act 2018, under a separate Data Processing Agreement. Data is hosted in the EU, encrypted in transit and at rest, and segregated by organisation.

4. Confidentiality & tenant separation

Each organisation’s procurement data, documents and submissions are kept separate and are not disclosed to other organisations. Supplier submissions are held in a secure electronic postbox and kept confidential until the relevant deadline.

5. Availability

We aim to keep the Platform available and will give reasonable notice of planned maintenance where practicable. The Platform is provided on an “as is” basis and we do not guarantee uninterrupted availability.

6. Intellectual property

The Platform and its software are owned by eSourcing Data. Your organisation retains ownership of the procurement content and data it submits. You are granted a non-exclusive, non-transferable right to use the Platform for the term of your subscription.

7. Liability

Nothing in these Terms limits liability that cannot be limited by law. Subject to that, our liability is limited as set out in the applicable subscription agreement between eSourcing Data and the subscribing organisation.

8. Termination

Access may be suspended or withdrawn where these Terms are breached, or on termination of the subscribing organisation’s agreement. Procurement records are retained and made exportable in line with agreed retention periods.
